Cooperatives are typically organized under state cooperative corporation statutes or nonprofit corporation laws, which generally permit electronic voting when authorized by the bylaws or board. The USDA Rural Development guidelines for electric and agricultural cooperatives recognize electronic voting as acceptable when proper safeguards are in place. State-specific examples: Wisconsin Statutes Section 185.15 allows cooperative bylaws to specify voting methods including electronic; Minnesota Statutes Section 308A.635 permits electronic voting for cooperatives; and most states with Uniform Limited Cooperative Association Act (ULCAA) provisions allow it. For board elections with multiple open seats (e.g., elect 3 directors from 7 candidates), vote.direct offers multi-select voting: members choose up to N candidates from the slate. Alternatively, use ranked choice voting where members rank all candidates by preference, and the platform automatically conducts elimination rounds until the correct number of winners emerge. Each candidate can have a bio and statement included on the ballot. For staggered boards (common in cooperatives), only the expiring seats appear on the ballot. The platform does not affect sitting directors whose terms have not ended.

Create a yes/no vote for each resolution. Include the full resolution text in the question description so members can review the exact wording before voting. For resolutions requiring a supermajority (two-thirds is common for bylaw amendments in cooperative statutes), set an approval threshold on the question when you build the ballot. That is a different setting from quorum: quorum counts how many members vote at all, while the approval threshold sets the share that must vote yes, using a preset (simple majority through three-quarters) or a custom percentage. You choose whether the share is measured against votes cast or against all eligible members, because cooperative statutes and bylaws mean different things by it and the second is the harder bar. The results page displays the share in favor, the rule, and whether it was met. You can bundle multiple resolutions into a single ballot, each tallied independently. For capital call votes, merger proposals, or dissolution votes, set quorum and the approval threshold separately according to your bylaws.

Yes. Your roster CSV determines who can vote. Only include members in good standing: those who are current on dues, assessments, or other obligations your bylaws require for voting eligibility. If a member's standing changes after the roster is uploaded, you can update the roster at any time before the voting window closes. The platform will prevent newly-ineligible members from voting even if they have the voting link. This mirrors the traditional practice of checking membership status at the registration table, but enforced systematically.

After each election, vote.direct provides a results export, a PDF election certificate showing the outcome, participation rate, quorum status, and generation timestamp, and an audit log protected by a SHA-256 hash chain that makes later changes detectable. These records can support a cooperative’s own minutes, review, or filing process, but vote.direct does not certify that one export automatically satisfies every RUS, HUD, state, or bylaw requirement. Confirm the required record set with the regulator or counsel responsible for your cooperative.
