These terms govern your use of vote.direct, operated by Syft8, Inc.

Acceptance of Terms
By accessing or using vote.direct ("the Service"), operated by Syft8, Inc. ("Syft8," "we," "our," or "us"), a Delaware corporation, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Description of Service
vote.direct provides an online platform for creating and participating in verified votes and polls. The Service includes features for identity verification, vote management, and result analysis.
Accounts
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your account.
- You must notify us immediately of any unauthorized use.
- We reserve the right to suspend or terminate accounts that violate these terms.
Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to manipulate or circumvent verification systems
- Create votes that violate any laws or regulations
- Impersonate others or provide false verification information
- Interfere with or disrupt the Service
- Collect information about other users without consent
- Use the Service to distribute spam or malware
- Attempt to access accounts or data belonging to others
- Access or use the Service to develop, benchmark, or improve a competing product or service, or register an account to study the Service on behalf of a competitor
- Scrape, crawl, harvest, or otherwise extract content or data from the Service by automated means, including AI agents or models, except public pages and endpoints accessed as permitted by our robots.txt and our published agent interface at vote.direct/agents
- Misrepresent, selectively present, or publish vote or poll results in a misleading manner, including omitting material context such as the number of eligible participants, actual response rate, voter eligibility criteria, or verification method used
- Use the name, logo, brand, or any trademark of vote.direct or Syft8, Inc. in press releases, advertisements, public statements, campaign materials, or any external communications without our prior written consent
- Imply that vote.direct or Syft8, Inc. endorses, certifies, or guarantees the legitimacy of any particular outcome, candidate, policy position, or organization
Vote Creation and Management
- Vote creators are responsible for their vote content, settings, and compliance with applicable laws regarding elections and voting.
- The Service provides the technology infrastructure for conducting votes. It is the vote creator's responsibility to ensure that their use of the Service meets any applicable legal, regulatory, or organizational requirements.
- Vote creators are responsible for ensuring voter eligibility, proper notice to voters, quorum requirements, and any other procedural obligations required by their governing documents or applicable law.
- We recommend consulting with qualified legal counsel to confirm that your use of the Service satisfies your organization's specific requirements.
Public Disclosure of Results
If you publicly share, publish, or reference any vote or poll results obtained through the Service (including in press releases, social media, reports, campaign materials, newsletters, or any other public-facing communications) you must:
- Accurately state the total number of eligible voters or invited participants and the actual number of responses received
- Disclose the verification method used (e.g., email, SMS, government ID, or none)
- Not present results from a non-representative or self-selected sample as representative of any broader population
- Not alter, fabricate, or selectively omit data to create a misleading impression of the outcome
- Include the date(s) the vote or poll was conducted
Violation of this section constitutes a material breach of these terms and may result in immediate account termination, public correction by Syft8, Inc., and legal action. We reserve the right to publicly clarify or correct any misrepresentation of results obtained through the Service.
Verification Services
Our verification services (email, SMS, and government ID) are designed to reduce fraud and strengthen vote integrity. While these measures significantly enhance security, no verification system can guarantee absolute accuracy or prevent all forms of fraud. We are not liable for verification failures, identity fraud, or their consequences. You acknowledge the inherent limitations of online verification and accept that the Service operates on a commercially reasonable best-efforts basis.
Fees and Payment
- Verification and service fees are displayed in your account dashboard and at the time of purchase.
- Prices are subject to change with 30 days' notice.
- Refunds may be provided for failed verifications at our discretion.
- You are responsible for any applicable taxes.
Intellectual Property
- We retain all rights to the Service, including trademarks, logos, and software.
- You retain rights to content you create but grant us a license to use it to provide the Service.
- You may not copy, modify, or reverse engineer any part of the Service.
SMS Messaging Terms
By providing your phone number to vote.direct, you consent to receive text messages related to voting verification and vote notifications.
- Message Frequency: Message frequency varies. You will receive messages only when you request a verification code or when a vote administrator sends vote notifications.
- Message and Data Rates: Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.
- Opt-Out: Reply STOP to any message to unsubscribe. You may still use email verification as an alternative.
- Help: Reply HELP to any message or contact [email protected].
- No Marketing: We will never send promotional or marketing messages via SMS. All messages are transactional.
Organizer responsibilities (sending SMS to voters): If you upload phone numbers or send SMS notifications to voters through the Service, you represent and warrant that you have obtained prior express consent from each recipient to receive election messages at that number, and that your messaging complies with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and all applicable law. You are solely responsible for your recipient lists and for maintaining records of consent. You confirm this consent at the time you send. You agree to indemnify, defend, and hold harmless Syft8, Inc. from any claim, fine, or penalty arising from messages sent to your contacts without valid consent.
Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these terms.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYFT8, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYFT8, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00 USD).
Indemnification
You agree to indemnify, defend, and hold harmless Syft8, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any applicable law; (d) any vote you create, manage, or participate in; (e) any claim that your use infringed third-party rights; or (f) any dispute between you and any third party. This obligation survives termination.
Professional Advice Disclaimer
The Service is a technology platform. We do not provide legal advice or compliance consulting. Content and features are for informational and operational purposes only and should not be construed as legal or professional guidance. We recommend consulting with a qualified attorney for any legally significant governance actions.
Third-Party Services
The Service relies on third-party infrastructure including cloud hosting, email delivery, SMS messaging, identity verification, and payment processing. We are not responsible for failures, interruptions, or security breaches caused by third-party services.
Force Majeure
Syft8, Inc. shall not be liable for any failure or delay due to causes beyond its reasonable control, including natural disasters, acts of war or terrorism, pandemics, government actions, power or internet outages, third-party service failures, or cyberattacks. Obligations are suspended for the duration of such events.
Geographic Scope
The Service is intended for use within the United States. We make no representations that the Service is appropriate for use in other jurisdictions. Access from outside the US is at your own risk.
Modifications
We may modify these terms at any time by posting the revised terms. Continued use constitutes acceptance. We encourage you to review these terms periodically.
Termination
We may terminate or suspend access immediately for any reason, including breach of these terms. Upon termination, your right to use the Service ceases. Provisions that should survive termination (ownership, disclaimers, liability, indemnification, dispute resolution) remain in effect.
Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. You consent to the exclusive jurisdiction of Delaware state and federal courts for any actions not subject to arbitration.
Dispute Resolution & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Disputes shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in Delaware.
CLASS ACTION WAIVER: YOU AND SYFT8, INC. AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.
Either party may bring claims in small claims court if eligible. You may opt out of arbitration by writing to [email protected] within 30 days of first accepting these terms.
Waiver
Failure to enforce any right shall not constitute a waiver. Any waiver must be in writing and signed by Syft8, Inc.
Severability
If any provision is found unenforceable, it shall be limited to the minimum extent necessary. Remaining provisions remain in full force.
Entire Agreement
These Terms, together with the Privacy Policy and any applicable API Terms, constitute the entire agreement between you and Syft8, Inc. regarding the Service.
Assignment
You may not assign these terms without our written consent. Syft8, Inc. may assign without restriction, including in connection with a merger, acquisition, or sale.
